Terms & Conditions for Manufacturers (B2B2C)

Legal Disclaimer

We are an open community, anyone who wishes can propose, develop and profit on their own modules, accessories, peripherals, expansion cards, display devices, batteries, switches, keycaps or software around our service free of charge, we just bring an "optimized, standardized framework, with minimum waste, plus the backend, so the users can consume computing power on-demand". Although if you want to lease your compatible products through our store and distribution channels, you should know that there is a margin of at least 15% for each transaction, plus the costs associated to the payment and shipping methods. If you're a manufacturer, you could also manufacture the Codec Terminals themselves, but with a small royalty fee of the lease value to third parties, like internet service providers, state entities or direct consumers, 7% using manufacturer's/client brand (OEM/white labelling) or 3% under the Coffee Pie® brand from as low as 0.30 USD/month per license (by 2025, indexed to inflation), by obtaining our certification that authorizes their production and limited brand usage, as long as they comply with our general and commercial guidelines, technical specifications, a minimum of quality in materials, modularity, repairability ≥9/10 (https://www.ifixit.com/repairability), recyclability ≥90%, compatibility, firmware, wear our simplified graphical interface (GUI) and connect to the servers network of our exclusive QFDM system (patent NC2025/0012723).

Minimum requirements for Commander™ Line codec terminals manufacturers:

1) All components must match the standardized chassis supplied by Grupo 3P1.

2) Room for 9 expansion cards, compatible with the Framework standard.

3) Compatibility with 2 flat modules (Laptop 16) of the Framework standard.

4) Compatibility with 84 low profile optomechanical switches 14 x 14 x 1.2 x 2.5 mm (Length x Width x Cover Thickness x Stem Travel).

5) Circuit board (ideally core of aluminum, copper or other recyclable materials) with receptacles one USB4 or higher and two USB-C 3.2 or higher for inner communication with I/O panel, keyboard and sliding tray.

6) ARM or RISC-V low power microcontroller with TDP 10 ~ 30 W (Basic: S905X5M-1GB / Pro: RK3588-4GB).

7) Dedicated decoder AV1 4K@60 Hz or higher (hardware accelerated).

8) Basic: Network interface with PoE support (RJ45) / Pro: SFP module optical fiber receptacle.

9) Full size HDMI/DisplayPort or USB-C receptacle compatible with DP.

10) Basic: 100 W / Pro: 240W USB-C port to power the I/O panel and low-power accessories.

11) Standard electronic interface with pogo pins 2x4 for connection of the external battery module.

12) Debian minimal (CLI), basic firmware and drivers for peripherals interaction from CLI.

13) Keyboard PCB with solid aluminum core, optomechanical switches and native QMK/VIA support for keyboard layout customization.

14) Embedded system like graphical interface (GUI) supplied by Coffee Pie® (Patent NC2024/0016460).

15) Unique serial number and MAC address, manufacturer info laser/embossed label in both surfaces of the sliding tray, also in ROM accessible from CLI ( /etc/device/license ).

Flow of Tangible Assets in the Coffee Pie® Ecosystem:

1) The Customer requests a product lease or loan in our online store.

2) If the Product is in inventory and the Customer has credit, shipment to the Customer's facilities is immediately scheduled and marked as "Active".

3) If the Product is not in inventory, it's requested to the respective manufacturer to ship the product to the Head Office for subsequent shipment to the Customer's facilities and is marked as "Active".

 

4) At the end of the usage or useful life cycle, the Customer have to request the return of the products, packaging them in the original or an adequate cardboard box, with a laser-printed label as indicated in the Return Policy​.

 

5) When the returned product arrives at the workshop, its condition is assessed. If it can continue to be used, maintenance is performed and put to circulation again, if not, corrective maintenance is performed (if the manufacturer still offers spare parts/upgrades) or, ultimately, it is recycled, and the raw materials are returned to the production chain so they can manufacture new products without extracting raw materials from scratch, this way closing the circular economy cycle.

 

6) Each user has a limited credit limit, and the lease of the products they have requested will be deducted from their account balance monthly.

 

7) If the user runs out of credit, they can watch on-demand ads to continue using the service. However, if they run out of credit and don't watch ads for 3 consecutive months, their account will be suspended, the products will be blocked according to their serial number until all assets are returned, or the user contacts technical support and completes the reactivation process. If the Client fails to return the assets in optimal condition, they will be responsible for the repair costs or pay the equivalent of 36 months' lease in the event of loss of the asset.

Terms

1. Acceptance of Terms
By manufacturing products compatible with the Coffee Pie® ecosystem, including certified or non-certified devices, you agree to comply with these terms and conditions. If you do not agree, you must refrain from using the "Coffee Pie compatible", "Codec Terminal compatible", "for Commander", "for Sentinel", "for Ranger" or similar labels, and contact us to determine if a diplomatic solution can be found. We do not tolerate under any circumstances practices such as Planned Obsolescence, any indication of these practices may be grounds for temporal or permanent ban from the ecosystem.

2. Description of B2B2C Services
Our core business is based on leasing codec terminals, providing highly targeted massive advertising spaces through our API, and credit packages for users who don't want or cannot afford service interruptions. We also offer leasing services in our online store, both through dropshipping with margins between 15% and 20%, and products in consignment with margins between 20% and 30%. If you are a manufacturer but don't have your own circular economy infrastructure, we can offer tune up, maintenance, repair, restoring, remanufacturing, recycling and final disposition services so you can rent or monetize your products indefinitely in our ecosystem.

3. Registration and Supplier Account
To access our services, you must create an account by providing accurate and up-to-date information. You are responsible for maintaining the confidentiality of your account and passwords.

4. Acceptable Use
You agree to use our services legally and ethically, respecting intellectual property rights, and avoiding activities that may harm or disrupt the operation of the ecosystem or violate the law in general.

 

5. Store and Incentives Program 

Our own and third-party products are available for lease in the Store section. As part of our incentives program to promote durability, modularity, repairability and recyclability, Coffee Pie® offers a reward system consisting of a 1% monthly refund of the value of the device rented through our store, in the form of non-refundable credits within our platform. If you are a manufacturer and rent compatible devices through our store, in addition to the base product rental, you will receive periodic incentives in the form of credits for each device in active service. This incentive is calculated based on the amount and time of the devices in active service. For example, if you have 10'000 devices in circulation, but 3'000 of these are damaged or returned by the user, you will only receive credits for the 7'000 that are actually in active service. These credits can only be used to consume our service or promote your products to a massive and highly segmented audience within our API/MCP, which will significantly increase your products exposure. This way, you'll not only be rewarded for the sustainable design of your devices, but you'll also optimize your business strategies, significantly reducing advertising and marketing costs.

6. Intellectual Property
All rights to the content and technology of Coffee Pie® are the exclusive property of the owner company, currently Grupo 3P1 Colombia.

7. Limitation of Liability
We are not responsible for direct or indirect damages arising from the use of the products, including loss of data or service interruptions. It is your responsibility as manufacturer to ensure safety and suitability, following the regulations and laws of each country.

8. Modifications
We reserve the right to modify these terms at any time. Modifications will be posted on this page and will become effective immediately.

Note

Once the products' lifecycle is complete, they must be returned to our closest workshop for evaluating its condition. Based on this evaluation, if you're the manufacturer and owner of such products, we can offer you one of the following explicit services:

Tuning: Quick adjustments and surface cleaning, without modifying nor replacing any of the product's components or software.

Preventive Maintenance: This involves modifying or restoring the optimal operating condition of one or more parts of the product, or performing a software update, even if no failure has occurred, to provide peace of mind and guarantee proper functioning for the next user.

Corrective Maintenance (Repair): This involves replacing one or more parts of the product to restore it to its original condition. The cost varies according to the complexity of the repair.

 

Refurbishing (Restoration): Taking a product with many hours of use, significant wear and tear and restoring it to optimal condition for reuse.

Remanufacturing: Using parts from discarded products into new products, restoring them to their original function.

Recycling: Recovering the original raw materials of the product for the manufacture of new, sustainable products, either in the same or other industries.


Final Disposal: Some materials or parts can not be recycled with current technology due to their composition, however, they can be given appropriate treatment, such as burying them in a specialized and certified site to prevent leaching or environmental damage, but it's usually a much more expensive service than recycling.

Restricted Materials: We are not yet able to adequately process composite materials such as resin and fiberglass (FR4), plastic-metal mixtures, highly toxic materials such as asbestos, lead, mercury, and radioactive materials such as thorium. Therefore, if these elements are used in your products, they must be given special treatment, which is usually expensive. As a manufacturer, you should try to avoid these materials in your designs, or at least keep them in modules that we can easily separate for returning to your factory once their lifespan has ended, for example, the optical panel can be manufactured with aluminum core and the keyboard microcontroller in FR4 with castellated holes for easy desolder:
